Terms & Conditions

These Terms and Conditions ("Agreement") govern your use of the services provided by Itito Strategies LLC ("Company," "we," or "us"). By subscribing to our services, you agree to be bound by this Agreement.


1. Overview of Services

Itito Strategies LLC provides review management systems, AI-driven automation tools, and marketing strategy solutions (collectively, the "Services") to support independent local businesses in improving online presence and engagement within the United States.


2. Client Responsibilities

To access and use the Services, you agree to subscribe to one of our three monthly subscription plans. You also agree to:

Provide accurate and complete business information and other setup details required for service activation.

Ensure all materials and information you provide comply with applicable laws and regulations. Failure to provide accurate information may result in delays or interruptions in service delivery.

Regularly add new contacts (your customers) to the system. This allows us to continuously request reviews on your behalf. Not adding new contacts may result in fewer new reviews on your Google page, impacting the effectiveness of the Service.

Deliver consistent, quality service to your own customers. The effectiveness of our systems in generating positive reviews is directly tied to the quality of service you provide to your customers, which prompts them to leave reviews.

While seamless integration is recommended for optimal performance, we will work with you to find the simplest possible setup for your business if a direct integration isn't feasible.


3. Payment Terms

Subscription Fees: The Services operate on a monthly subscription basis and may include an initial setup fee of $200.

Payment Methods: We accept all major credit and debit cards, ensuring PCI compliance for secure transactions.

Payment Due Dates: Subscription fees must be paid in full by the due date specified in your invoice.

Late Payments: If a payment is late, we will send two notifications via email and text message (if a number is on file). If payment is not received, Services may be suspended until the account is brought current.

Cancellations: To cancel your subscription, you must contact our support team at [email protected] before the next billing cycle. All fees are non-refundable. In the event of a prolonged service disruption caused by Itito Strategies LLC, we will act accordingly to make it right, which may include offering a complimentary month of service or other appropriate compensation.


4. Limitations of Service

No Guarantees: While we provide the tools and support designed to increase Google reviews, we do not guarantee specific outcomes such as increased customer retention, revenue, or a specific number of reviews. The ultimate effectiveness depends on factors including your implementation of our tools and, crucially, the consistent delivery of quality service to your own customers.

Performance Disclaimer: The effectiveness of our tools depends significantly on how they are implemented and used by the client. If proper quality service isn't being delivered to your customers, the system's ability to generate positive reviews will be impacted.


5. Customer Support

Support is available via email, phone, and chat during regular business hours. While we strive to respond promptly, immediate responses cannot be guaranteed outside of business hours.


6. Eligibility for Promotions

"First 30 Reviews Free" Promotion: Businesses with a minimum of 1,000 existing client records, including names, email addresses, and phone numbers, are eligible for our "First 30 Reviews Free" promotion. This offer is part of a 14-day trial period, during which we are confident we can deliver 30 reviews if the eligibility criteria are met. This strict requirement ensures we have sufficient customer data to demonstrate the system's effectiveness.

Free Two-Week Trial: All businesses are eligible for a free two-week trial.


7. Data Privacy and Security

Data Storage: All client and customer data are securely stored within the software platform and accessible only to authorized account users. We utilize GoHighlevel for our software platform, which employs industry-standard security measures to protect your data.

Data Usage: We do not sell or share your data with third parties for marketing purposes. Data may be shared with trusted third-party service providers (e.g., cloud hosting, email service providers) solely for the purpose of delivering and improving the Services, under strict confidentiality agreements.

Privacy Policy: Our detailed Privacy Policy, available at https://usesteadi.com/privacypolicy, explains our data collection, usage, storage, and your rights regarding your data. Your use of our Services is also governed by our Privacy Policy.


8. Proprietary Rights

All tools, templates, automations, and AI-driven resources provided by Itito Strategies LLC are proprietary and remain the exclusive property of Itito Strategies LLC. Clients may use the tools and resources for their internal business operations while actively subscribing to the Services but may not transfer, copy, or replicate them for purposes outside of the Services provided by Itito Strategies LLC.


9. Termination of Agreement

Either party may terminate this Agreement by providing 30 days' written notice.

Upon termination:

Clients may request access to their customer lists, which will be provided in CSV/Excel format. This access can be requested at any time post-termination.

All tools, software, and intellectual property provided by the Company remain the property of Itito Strategies LLC and cannot be transferred or continued to be used.

Data Retention After Termination: We recommend clients download all necessary data prior to termination. We will retain client data for a period of 30-90 DAYS, after termination, after which it may be permanently deleted.


10. Limitation of Liability

To the fullest extent permitted by law, Itito Strategies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

Your use or inability to use the Services;

Any conduct or content of any third party on the Services;

Any content obtained from the Services;

Unauthorized access, use, or alteration of your transmissions or content.

Our total aggregate liability for any claim arising out of or relating to this Agreement or the Services shall not exceed the greater of the amount you paid to Itito Strategies LLC for the Services in the 12 months preceding the event giving rise to the liability. This limitation applies even if Itito Strategies LLC has been advised of the possibility of such damages.

This limitation of liability does not apply in cases of gross negligence or willful misconduct by Itito Strategies LLC.


11. Indemnification

You agree to indemnify and hold harmless Itito Strategies LLC, its employees, and affiliates from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Services;

Your violation of this Agreement or any applicable laws or regulations;

Any content you submit, post, transmit, or make available through the Services;

Your provision of services to your own customers.

This indemnification obligation will not apply to claims arising solely from the gross negligence or willful misconduct of Itito Strategies LLC.


12. Price Changes

Itito Strategies LLC reserves the right to modify its pricing plans at any time. Customers will be notified at least 30 days in advance of changes to subscription fees via email. These changes will apply only to future billing cycles and will not affect the current billing period.


13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan. Any disputes arising under this Agreement shall be resolved exclusively in the courts of Wayne County, Michigan.


14. Amendments to the Agreement

We reserve the right to amend these Terms and Conditions at any time. Clients will be notified of any changes primarily via email. Continued use of the Services after such notification constitutes your acceptance of the revised terms.
