These Terms and Conditions (“Agreement”) govern your access to and use of Steadi (the “Services”), a platform operated by Itito Strategies LLC (“Company,” “we,” “us,” or “our”). By signing up for, subscribing to, or using the Services, you agree to be bound by this Agreement.


1. Overview of Services

Steadi is a marketing and automation platform that helps businesses strengthen their online presence by supporting review growth and reputation marketing. The Services may include:

Automated Google review requests (via text and email)

AI-assisted responses to customer reviews

Repurposing positive reviews into social media content

CRM / customer database tools

Setup assistance and ongoing support

Steadi is designed to work best for local service businesses; however, businesses in any industry may subscribe and use the Services.


2. Client Responsibilities

To access and use the Services, you agree to the following:

a) Accurate Information

You must provide accurate and complete business information and setup details required for Steadi to function properly. Inaccurate or incomplete information may delay setup or reduce performance.

b) Permission to Contact Customers

You represent and warrant that you have lawful permission to contact the customer records you upload into Steadi, including permission to send text messages and emails.

You understand that Steadi uses your customer data only to send review requests and related service communications on your behalf, and it is assumed you have valid customer consent for all uploaded contacts.

c) Quality of Service

You acknowledge that results depend heavily on the service experience you provide your own customers. Steadi helps request and manage reviews, but review outcomes are ultimately based on customer satisfaction.

d) Ongoing Contact Uploads

Steadi works best when new customer contacts are regularly added or integrated into the system. If contact uploading stops, review volume may decrease and results may be limited.

e) Lawful Use

You agree to use Steadi in compliance with all applicable laws, including privacy laws and messaging laws (see Section 11).


3. Subscription, Pricing & Payments

a) Subscription Plans

Steadi operates on a monthly subscription model. Pricing may vary based on business size and service scope but will generally fall within:

$99 to $300 per month

We reserve the right to adjust plan structures and pricing over time.

b) SMS & Email Pass-Through Costs

In addition to your subscription fee, your account may incur message delivery costs related to SMS and email sending (“Messaging Fees”).

These are third-party pass-through fees required to deliver messages, and Steadi does not profit from these charges.

Messaging Fees are typically under $10 per month for most clients, but may vary depending on customer volume.

c) Payment Methods

We accept major credit and debit cards. Payments must be made in full on the billing date to avoid interruption.

d) Late Payments

If payment is not received, you may receive notifications by email and/or SMS. If payment remains unpaid, your Services may be suspended until payment is brought current.

e) Refund Policy

All payments are non-refundable. However, if a specific circumstance arises where the Company determines an issue occurred on our end, we may, at our discretion, issue a refund or credit to make the situation right.


4. Free Trial (14 Days)

Steadi offers a 14-day free trial. Trial access may require setup steps to activate full functionality.

If you do not cancel before the trial ends, your subscription will begin automatically and you will be charged based on your selected plan.


5. Cancellation

Clients may cancel at any time by contacting support:

To avoid being charged for the next billing cycle, cancellations should be submitted at least 24 hours before your billing date.

Cancellation stops future charges. No refunds are issued for partial months, except as stated in Section 3(e).


6. Limitations of Service & No Guarantees

Steadi is designed to improve review consistency, online trust, and marketing efficiency. However, you acknowledge and agree:

Steadi does not guarantee a specific number of reviews

Steadi does not guarantee a specific star rating

Steadi does not guarantee ranking position on Google or placement in any local search results

Steadi does not guarantee customer retention or revenue growth

Results depend on multiple factors including, but not limited to:

the quality of your services

customer willingness to leave reviews

accuracy and size of your customer list

how often customers are added into the system

compliance with policies and laws

Google’s systems and review filtering processes


7. Compliance With Google Policies

Steadi is designed to support ethical and compliant review generation.

You acknowledge that:

Steadi does not block, filter, suppress, or prevent negative reviews

Review gating and review filtering violate Google policies

Steadi cannot control whether Google publishes, removes, delays, or filters reviews


8. Customer Support

Support is available via email and other channels during normal business hours. We strive to respond promptly but do not guarantee immediate response times outside business hours.


9. Data Privacy & Security

a) Data Use

Steadi uses customer data uploaded by you (names, phone numbers, emails, etc.) strictly for delivering review requests and operating the Services.

We do not sell or rent customer information.

b) Platforms & Third-Party Providers

Steadi operates using platforms such as GoHighLevel and integrations such as Zapier, and may rely on third-party messaging providers for SMS and email delivery.

Data may be processed through these platforms only as needed to provide the Services.

10. Intellectual Property

All tools, workflows, templates, automations, software configurations, and proprietary resources provided through Steadi remain the exclusive intellectual property of Itito Strategies LLC.

You may use Steadi materials only for internal business operations while actively subscribed. You may not copy, resell, replicate, distribute, or transfer these materials outside of your subscribed usage.


11. Compliance With Laws (Messaging and Data)

You acknowledge that use of Steadi must be compliant with all applicable laws and regulations, including but not limited to:

Telecommunications laws

Consumer protection laws

Privacy laws

Commercial messaging laws (e.g., TCPA, CAN-SPAM)

You agree that you are responsible for ensuring your customer contact list was obtained legally and that you have appropriate consent to message those individuals.

You agree not to use Steadi to send messages to purchased lists, scraped lists, or contacts who have not given permission.


12. Termination & Data Retention

a) Termination

Upon cancellation or termination:

your access to Steadi will end

you will no longer have access to the platform

b) Data Access

You may request a copy of your customer list prior to termination. If requested, we may provide it in CSV format.

c) Data Retention

Steadi retains account data for 30 days after termination. After that, data may be permanently deleted and may not be recoverable.


13. Limitation of Liability

To the fullest extent permitted by law, Itito Strategies LLC shall not be liable for any indirect, incidental, special, consequential, punitive, or economic damages, including loss of profits, loss of revenue, loss of data, or loss of goodwill, arising from or related to your use of Steadi.

Our total liability for any claim related to the Services shall not exceed the total amount paid by you to Itito Strategies LLC during the 12 months prior to the event giving rise to the claim.


14. Indemnification

You agree to indemnify and hold harmless Itito Strategies LLC, its employees, contractors, and affiliates from any claims, damages, liabilities, losses, costs, or expenses (including attorney fees) arising from:

your use of Steadi

your violation of these Terms

your violation of any laws or regulations

your customer contact list practices

any disputes between you and your customers


15. Price Changes

We reserve the right to modify pricing at any time. Clients will receive at least 30 days’ notice via email before any pricing changes apply. Price changes apply only to future billing cycles.


16. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Michigan. Any disputes shall be resolved exclusively in the courts of Wayne County, Michigan.


17. Amendments

We may update these Terms at any time. Updates will be communicated via email. Continued use of Steadi after notification constitutes acceptance of the updated Terms.


18. SMS Consent (Customer Care)

By providing your phone number and submitting a form, you consent to receive SMS messages from Itito Strategies LLC regarding account updates, support, and service notices. Message frequency may vary. Message and data rates may apply. Reply STOP to unsubscribe. Reply HELP for help. See our Privacy Policy for details.


19. SMS Consent (Marketing)

By providing your phone number and submitting a form, you consent to receive SMS messages from Itito Strategies LLC regarding marketing offers and announcements. Message frequency may vary. Message and data rates may apply. Reply STOP to unsubscribe. Reply HELP for help.

SMS opt-in data is not shared or sold to third parties.

20. Program Description

Steadi (operated by Itito Strategies LLC) may send SMS and email messages to users who opt in. Messages may include promotional offers, service updates, appointment confirmations, and appointment reminders. Message frequency may vary.


21. Consent to Receive Messages

By providing your phone number and opting in, you authorize Steadi (operated by Itito Strategies LLC) to send text messages to your mobile number. Consent is not a condition of purchase.


22. Opt Out

You can cancel the SMS service at any time. Just text "STOP" to the Steadi's phone number. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.


23. Opt In Again

If you want to rejoin after opting out, you can opt in again using the same method you used to enroll originally.


24. Help and Support

If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at [email protected].


25. Message Frequency and Rates

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive 4 messages per month. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.


26. Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.


27. Privacy

28. Changes to Terms

We may update these Terms from time to time. Updates will be posted with a new Last Updated date.
